ROCKVILLE, Md.--(BUSINESS WIRE)--Nov. 19, 2001--Federal Realty Investment Trust (NYSE:FRT) announced today the pricing of a $125 million offering of 5,000,000 shares of 8.5% Series B Cumulative Redeemable Preferred Shares at $25 per share.

The Preferred Shares, which may be called by the Trust at par on or after November 27, 2006, have no stated maturity, sinking fund or mandatory redemption, and are not convertible into any other securities of Federal Realty Investment Trust. The net cash proceeds to the Trust from the offering will be used to pay down indebtedness under the Trust's credit facility.

Federal Realty expects to list the Series B Preferred Shares on the New York Stock Exchange.

Morgan Stanley acted as the lead manager for the offering, and Merrill Lynch & Co., Salomon Smith Barney and Wachovia Securities acted as co-managers. The underwriters have a 30-day option to purchase an additional 750,000 shares to cover overallotments.
